Terms of Service

Welcome to OpenCron ("OpenCron," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the OpenCron website, dashboard, APIs, and related services (collectively, the "Service"). By creating an account or using OpenCron, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

OpenCron is an AI scheduling and marketplace platform that lets users create, schedule, run, and subscribe to automated AI tasks ("Crons"). Features may include carbon-aware execution, marketplace listings, subscriptions, in-app messaging, wallets, and related tooling. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

2. Eligibility & Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use OpenCron. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at support@opencron.ai if you suspect unauthorized access.

3. User Responsibilities

When using OpenCron, you agree that you will not:

  • Use the Service for unlawful, harmful, abusive, fraudulent, or deceptive purposes
  • Create Crons that generate spam, malware, phishing content, or content that infringes intellectual property or privacy rights
  • Attempt to reverse engineer, interfere with, or disrupt the Service, scheduling engine, or underlying infrastructure
  • Misrepresent your identity, scrape other users' content without authorization, or abuse messaging features
  • Publish private or confidential prompts/data in public marketplace listings without proper rights
  • Circumvent usage limits, billing, authentication, or access controls

You are solely responsible for the prompts, schedules, outputs, and marketplace listings you create or subscribe to, and for ensuring your use complies with applicable laws and third-party terms (including AI model providers).

4. API Usage & Fair Use

OpenCron may provide programmatic or automated access to scheduling, marketplace, and account features. You agree to use any APIs or automated interfaces in accordance with our documentation and fair-use guidelines, including rate limits and quota controls we establish.

Excessive, abusive, or automated usage that degrades platform performance, inflates costs unfairly, or bypasses intended product flows may result in throttling, suspension, or termination. We reserve the right to monitor usage patterns to protect the Service and other users.

5. Marketplace, Subscriptions & Content

Creators may list public Crons and subscribers may purchase access according to published pricing. You grant OpenCron a limited license to host, display, and operate your content as needed to provide the Service. You retain ownership of your content, subject to any rights granted to subscribers under listing terms you set.

We do not guarantee marketplace demand, Cron quality, uptime of third-party AI models, or fitness of any Cron output for a particular purpose. Outputs generated by AI may be inaccurate or incomplete; you should review them before relying on them.

6. Payments & Refunds

Certain features require prepaid balance, per-run charges, or other fees. Prices, credits, and fees may change; material changes will be reflected in the product where applicable. By funding your wallet or authorizing charges, you agree to pay all applicable fees.

Unless required by law or expressly stated otherwise, fees for executed Cron runs, marketplace subscriptions, and consumed credits are non-refundable. If a billing error occurs due to our fault, contact support@opencron.ai and we will investigate in good faith. Unused balances may be subject to inactivity or account-closure policies we publish.

7. Intellectual Property

The OpenCron name, branding, software, design, and documentation are owned by OpenCron or its licensors. These Terms do not grant you any rights to our trademarks or source code except the limited right to use the Service as permitted.

8. Privacy

Our handling of personal data is described in our privacy practices as made available in the product or on our website. By using OpenCron, you acknowledge that AI processing, logging, email delivery, and analytics may be used to operate and improve the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENCRON DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT CRONS WILL RUN AT EXACT TIMES, THAT AI OUTPUTS WILL BE ACCURATE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENCRON AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO OPENCRON FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

11. Indemnification

You agree to indemnify and hold harmless OpenCron from and against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your content, Crons, marketplace listings, subscriptions, or violation of these Terms or applicable law.

12. Suspension & Termination

We may suspend or terminate your access if you violate these Terms, create risk or legal exposure for us or others, or if required for security or operational reasons. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree, you must stop using OpenCron.
